Board Decision. The Board will make a final decision at a board meeting, as soon as practicable following receipt of the Hearing Officer’s recommendation. In the event the Board disagrees with the Hearing Officer’s proposed decision, the Board shall direct the Vice Chancellor of Human Resources or his/her designee to meet and confer with the Union before taking final action on its decision at the next board meeting. The worker and ACE will be advised immediately of that decision in writing.
Board Decision. The Board's decision whether or not to waive the reduction in the amount of benefits payable in the event of the Executive's Qualified Termination prior to reaching age 65, as provided in Section 1.2(a), shall be totally discretionary with the Board and need not be based upon any standard nor be consistent with any past practices and shall be conclusive on all parties.
Board Decision. When an employee is suspended or dismissed, the President of the Association shall be informed immediately. When an employee is dismissed, the employee shall be given notice of dismissal forthwith in writing setting out the reasons for the decision.
Board Decision. The Board shall convene within thirty (30) days of the date of issuance of the committee report to consider the President’s recommendation. Within thirty (30) days of the date of such meeting, the Board shall issue a written decision. The Board may sustain the President’s recommendation or it may return the recommendation to the President with specific objections. The President will then reconsider, taking into account the stated objections and receiving new evidence if necessary. The Board will make its final decision only after study of the President’s reconsideration.
Board Decision. The Board agrees that any recommendation or decision by the Board relating to rates of pay, promotions, hiring, termination or discipline of employees covered by the terms of this Agreement, shall be communicated in writing to the Union within seven (7) calendar days of the Board's consideration and decision.
Board Decision. All recommendations shall be considered by the College Board prior to issuance of a final decision.
Board Decision. The appeal should be heard and decided by a majority vote of the Board of Directors, which may accept, reject or modify the decision of the Corporate Governance Committee. The Board's review shall be limited to whether there were adequate procedures, whether the evidence considered was complete, or whether there were material and prejudicial procedural defects in the Corporate Governance Committee's proceedings. The Board shall notify the respondent and complainant of the action taken, within the confidentiality guidelines of Section 9.
Board Decision. After receiving all input, the Board shall decide whether to institute the Reduction-in-Force Policy. Idaho Code 33-522
Board Decision. In the event of any damage or destruction to any portion of the Agency Space by fire or other casualty, the cost of repair or restoration of which:
(A) is equal to two-thirds (2/3) or more of the then full replacement cost of the Agency Space, during the first thirty (30) years following the date of this Declaration;
(B) is equal to one-half (1/2) or more of the then full replacement cost of the Agency Space, during the thirty-first (31st) through fiftieth (50th) year following the date of this Declaration;
(C) is equal to one-third (1/3) or more of the then full replacement cost of the Agency Space if the damage or destruction occurs more than fifty (50) years following the date of this Declaration; and/or
(D) exceeds the applicable insurance proceeds by more than Two hundred thousand dollars ($200,000), regardless of when the damage or destruction occurs; the Board shall decide by unanimous vote, and within ninety (90) days after the occurrence of such damage or destruction, whether or not the Agency Space shall be repaired or restored; provided that the Agency Space may be repaired or restored only if BAHA also elects to repair or restore the remainder of the Facility.
Board Decision. Subject to Section 3.4(b), in the event that the Board determines pursuant to the Required Board Approval that it would be advisable to cause the equity of the Company or its business to be sold to the public in a Public Offering, it may invoke Section 6.1(c).
