Board Memberships. The Employee may serve as a member of the boards of directors of such business, community and charitable organizations as he may disclose to and as may be approved by the Board (which approval shall not be unreasonably withheld), and he may engage in personal business and investment activities for his own account; PROVIDED, HOWEVER, that such service and personal business and investment activities shall not materially interfere with the performance of his duties under this Agreement.
