Common use of Board Service Clause in Contracts

Board Service. To the extent requested by the Board, during Executive’s employment, Executive shall serve on the boards of directors of any member of the Company Group without additional compensation therefor. Executive shall resign as a member the boards of directors of any members of the Company Group at such time as Executive ceases to hold the position of Executive Vice President & Chief Operating Officer (or otherwise ceases to be employed by the Company Group) or as directed by the Board.

Board Service. Executive shall resign as a member the boards of directors of any members of the Company Group at such time as Executive ceases to hold the position of Executive Vice President & and Chief Operating Technology Officer (or otherwise ceases to be employed by the Company Group) or as directed by the Board.

To During the extent requested by Term, while Executive is employed as Company’s President and Chief Executive Officer, at the Board, during Executive’s employmentrequest of Company and subject to any appointment or election requirements, Executive shall serve on the boards of directors of any member of the Company Group without additional compensation therefor. Executive shall resign as a member Board and the boards of directors of any members Company’s subsidiaries, in each case without additional compensation. Upon Executive’s Termination Date, Executive shall immediately resign from the Board and all boards of the Company Group at such time as Executive ceases to hold the position directors of Executive Vice President & Chief Operating Officer (or otherwise ceases to be employed by the Company Group) or as directed by the BoardCompany’s subsidiaries.

To During the extent requested by Term, while Executive is employed as Company’s President and Chief Executive Officer, at the Board, during Executive’s employmentrequest of Company and subject to any appointment or election requirements, Executive shall serve on the boards of directors of any member of the Company Group without additional compensation therefor. Executive shall resign as a member Board and the boards of directors of any members Company’s subsidiaries, in each case without additional compensation. Upon Executive’s Termination Date, Executive shall continue to serve on the Board and all boards of the Company Group at such time as Executive ceases to hold the position directors of Executive Vice President & Chief Operating Officer (or otherwise ceases to be employed Company’s subsidiaries if requested by the Company Group) or as directed by and, if not, Executive shall immediately resign from the BoardBoard and all boards of directors of Company’s subsidiaries.
