Borrower’s Incumbency Certificate. The Administrative Agent shall have received a certificate of the Borrower and the Co-Borrower, dated the Closing Date, as to the incumbency and signature of the officers of the Borrower and the Co-Borrower, respectively, executing any Loan Document, satisfactory in form and substance to the Administrative Agent, executed by the Chief Executive Officer, Chief Operating Officer, Chief Financial Officer, President, Treasurer or any Vice President and the Secretary or any Assistant Secretary of the Borrower and the Co-Borrower, respectively.
Borrower’s Incumbency Certificate. There shall have been delivered to Agent (with sufficient copies for distribution to all Lenders), in form and substance satisfactory to Agent and its counsel, a certificate, signed by the Secretary or an Assistant Secretary of Borrower and dated the Closing Date, as to the incumbency, and containing the specimen signature or signatures (not photocopied), of the person or persons authorized to execute and deliver this Agreement, the Notes, the Collateral Documents to which it is a party and any other instrument or agreement required hereunder on behalf of Borrower;

The Administrative --------------------------------------------- Agent shall have received, with a copy for each Lender, a certificate of each of the U.S. Borrowers, dated the Closing Date, as to the incumbency and signature of the officers of each of the U.S. Borrowers executing any Loan Document, reasonably satisfactory in form and substance to the Administrative Agent, executed by the President and the Secretary or any Assistant Secretary of each of the U.S. Borrowers;

The Borrower shall have delivered to the Agent for redelivery to each Bank a certificate of its secretary or assistant secretary, certifying the names and offices of the officers of the Borrower authorized to sign this Agreement, the Notes and all other documents or certificates to be delivered hereunder, together with the true signatures of such officers.
