Chief Operating Officer. The Chief Operating Officer shall be responsible for managing the day to day operations of the Company and shall see to it that all orders of the Chief Executive Officer are carried into effect.
Chief Operating Officer. The Board of Directors may designate a chief operating officer. The chief operating officer shall have the responsibilities and duties as determined by the Board of Directors or the chief executive officer.
Chief Operating Officer. The Chief Operating Officer shall have such authority and perform such duties as the Board of Managers may determine in its sole discretion.
Chief Operating Officer. As the Chief Operating Officer, the President shall have general charge and supervision of the day to day operations of the Company (subject to the direction of the Board of Directors), and, in general, shall perform such other duties as are incident to the office of a chief operating officer of a corporation, including those duties customarily performed by persons occupying such office, and shall perform such other duties as, from time to time, may be assigned to him by the Board of Directors.
Chief Operating Officer. The Chief Operating Officer of the Company shall assist the President and Chief Executive Officer in the administration and operation of the Company’s business and general supervision of its policies and affairs.
Chief Operating Officer. A designated Chief Operating Officer located in Mississippi to oversee day-to-day business activities conducted pursuant to this Contract.
Chief Operating Officer. The Chief Operating Officer shall perform such duties as customarily pertain to the office of Chief Operating Officer or are prescribed by the Board, Chief Executive Officer or President. In the absence, disability or refusal of the President to act, or the vacancy of such office, the Chief Operating Officer shall perform the duties and have the powers and authorities of the President.
Chief Operating Officer. If the Board designates a Chief Operating Officer, such officer shall have such powers and perform such duties as may be prescribed from time to time by the Board of Directors or the Chief Executive Officer. Subject to the foregoing, the Chief Operating Officer shall have direct management responsibility for the general business operations of the Company and the MLP, and he shall have such powers and perform such duties as may be incident to the office, those duties assigned to him by other provisions of this Agreement, and such other duties as may from time to time be assigned to him either directly or indirectly by the Board, the Chairman of the Board, Chief Executive Officer or the President. Subject to delegations by the Chief Executive Officer, the Chief Operating Officer may sign or execute, in the name of the Company, all security certificates, deeds, mortgages, bonds, contracts or other documents and instruments, except in cases where the signing or execution thereof shall be required by law or shall have been expressly delegated by the Board or this Agreement to some other officer or agent of the Company.
Chief Operating Officer. The Chief Operating Officer of the Company shall have general charge of the operating affairs of the Corporation, and shall have such other powers and duties as the Chief Executive Officer or the Board of Directors shall delegate to him or her from time to time.
Chief Operating Officer. 8. That immediately upon the Agreement being fully executed, Xxxx Xxxxx will be removed as the Chief Operating Officer of New Day. Xxxx Xxxxx may retain his minority ownership interest in New Day and may remain employed with New Day, however, he shall not hold any position that would be deemed a “control person” under the NMLS standards or a position in senior management, either by title or by action.
9. That within one hundred and eighty (180) days upon its execution of the Agreement, New Day will employ and/or appoint an individual other than the President and/or Chief Executive Officer of the company to be the Chief Operating Officer (“COO”) for the company. The COO shall have the authority, responsibilities, and duties commonly understood for the position of a chief operating officer for a mortgage company having the size and scope of business of that of New Day. The COO shall have the requisite background, experience, and skill set necessary to fulfill the duties of a chief operating officer for a mortgage company having the size and scope of business of that of New Day.
10. That nothing in this Agreement should be construed to limit the obligation of New Day to notify and receive approval for a change in management requirement imposed under the laws of any Participating State, including any obligations with regard to the appointment of the COO described herein.
