Bridgeline Supporting Documents. Bridgeline shall have delivered to Seller a certificate (i) of the Secretary of State of the State of Delaware dated on or within seven (7) business days of the Closing Date, certifying as to the corporate legal existence and good standing of Bridgeline, and (ii) of the Assistant Secretary of Bridgeline, dated as of the Closing Date, certifying on behalf of Bridgeline: (1) that attached thereto is a true and complete copy of the Certificate of Incorporation of Bridgeline, certified by the Secretary of State of the State of Delaware; (2) that attached thereto is a true and complete copy of the By-Laws of Bridgeline as in effect on the date of such certification; (3) that attached thereto is a true and complete copy of all resolutions adopted by the Board of Directors of Bridgeline authorizing the execution, delivery and performance of the Agreement and the consummation of the Merger; and (4) to the incumbency and specimen signature of each officer of Bridgeline executing on behalf of Bridgeline this Agreement and the other agreements related hereto.

  • Supporting Documents The Company shall have received the following:
