Bring-down Chief Financial Officer’s Certificate. At the Closing Time, the Representatives shall have received from the Chief Financial Officer of the Company, dated the Closing Time, reaffirming the statements made in the certificate furnished pursuant to Section 5(g) hereof.
Bring-down Chief Financial Officer’s Certificate. A certificate, dated such Date of Delivery, of the chief financial officer of the Company, substantially in the same form and substance as the certificate furnished pursuant to Section 6(h) hereof.
Bring-down Chief Financial Officer’s Certificate. If requested by the Representatives, a certificate from Xxxxxxx X. Xxxxxxx, the Executive Vice President and Chief Financial Officer of the Company, in form and substance satisfactory to the Representatives and dated such Date of Delivery, substantially in the same form and substance as the certificate furnished to the Representatives pursuant to Section 5(n) hereof.
Bring-down Chief Financial Officer’s Certificate. At each of the Closing Date and the Option Closing Date, if any, the Representative shall have received from the Chief Financial Officer of the Company a certificate, dated as of the Closing Date or the Option Closing Date, as applicable, to the effect that such Chief Financial Officer reaffirms the statements made in his letter furnished pursuant to Section 4.3.1.
Bring-down Chief Financial Officer’s Certificate. At the Closing Time, the Underwriter, the Forward Purchaser and the Forward Seller shall have received a certificate of the chief financial officer of the Company, dated as of the Closing Time, in form and substance satisfactory to the Underwriter, the Forward Purchaser and the Forward Seller, to the effect set forth in Exhibit C-2 hereto.
Bring-down Chief Financial Officer’s Certificate. On each Closing Date, the Placement Agent shall have a certificate of the Chief Financial Officer of the Company dated as of such Closing Date, in form and substance reasonably satisfactory to the Placement Agent.
Bring-down Chief Financial Officer’s Certificate. At the Closing, the Representatives shall have received from the Chief Financial Officer of the Company a certificate, dated such date, in form and substance satisfactory to the Representatives, with respect to certain financial data contained in the Prospectus used in connection with the offering of the Notes, providing “management comfort” with respect to such information.
