Seller shall have received at the Closing a certificate dated as of the Closing Date and executed by the Chief Executive Officer, the President or the Chief Financial Officer of the Buyer to the effect that each of the conditions specified above in Sections 8.1(b) and (c) are satisfied in all respects.
Buyer Officer’s Certificate. Sellers shall have received from Buyer a certificate, dated as of the Closing Date, executed on behalf of Buyer by a duly authorized officer of Buyer, certifying that the conditions set forth in Section 5.2.1 and Section 5.2.2 have been satisfied.
