Buyer Parties’ Closing Actions and Deliverables. All of the actions required to be taken by the Buyer Parties set forth in Section 3.2(b) shall have been taken, and all Ancillary Agreements, certificates, instruments and other documents required to be executed and delivered by the Buyer Parties set forth in Section 3.2(b) shall have been duly executed and delivered by the applicable Buyer Party in accordance with Section 3.2(b) .
