Buyer's Counsel's Opinion. Counsel for Buyer, shall have delivered to Seller an opinion, dated the Closing Date, in form and substance satisfactory to counsel for Seller, to the following effect:

Buyer's Counsel's Opinion. Alstxx & Xird, counsel to the Buyer, shall have delivered to the Sellers an opinion, dated the Closing Date, in form and substance reasonably satisfactory to counsel for the Sellers, as to the matters set forth in Exhibit C-1 hereto. In giving such opinion such counsel may rely, as to matters of fact, upon certificates of duly authorized representatives of the Buyer and, as to matters of law, upon the opinions of other counsel reasonably satisfactory to the Sellers; provided that copies thereof are delivered to the Sellers at or prior to the Closing.

  • Opinion of Buyer's Counsel Buyer shall deliver to Seller a favorable opinion of counsel for Buyer, dated as of Closing, in form and substance reasonably acceptable to Seller.
