Buyer’s Information. Information, drawings, data, design, inventions, computer software, ideas, suggestions and/or other technical information supplied by Buyer or those developed by Seller at Buyer’s request shall remain Buyer’s property and shall be held in confidence by Seller. Such information shall not be reproduced, used, modified, or disclosed to others by Seller without Buyer’s prior written consent, and shall be returned to Buyer upon completion by Seller of its obligations under this Purchase Order or upon demand. Any information which Seller may disclose to Buyer with respect to the design manufacture, sale or use of the articles covered by this Purchase Order shall be deemed to have been disclosed as part of the consideration for this Purchase Order, and Seller shall not assert any claim against Buyer or Buyer’s use thereof.
Buyer’s Information. Except as provided in Section 7.3, all information provided by Buyer to Seller concerning this Agreement shall be maintained in strict confidence by Seller. Such information shall remain the property of Buyer, and Seller shall not use the same for or on behalf of any Person or entity other than Buyer or make use of any such information except for the purposes for which it was provided.

Buyer’s Information. If any Products supplied under this Contract are made according to Buyer’s manufacturing information, such information shall be used only to manufacture Products to Buyer’s orders. Xxxxxx agrees that Xxxxx shall at all times retain title to such manufacturing information and Xxxxxx agrees to maintain it in confidence. Upon Xxxxx’s request, Seller shall return to Buyer all such manufacturing information without retaining any copies or embodiments thereof.
Buyer’s Information. Buyer retains title to all information and materials (including, but not limited to, all drawings, designs, specifications, technical data and production or product ’know-how’) furnished to Seller to facilitate performance of an Order or Release, and the same shall be (i) treated as Buyer’s confidential information, (ii) used exclusively by Seller to complete the Order or Release, and (iii) returned to Buyer at Buyer’s direction or upon completion, termination, or cancellation of the Order or Release, along with all copies or reproductions thereof, unless otherwise agreed to in writing by Buyer. Seller shall thereafter make no further use of any such drawings, designs, specifications, technical data and production or product “know-how” or of any information derived therefrom in the performance of work for any other customer without Buyer’s prior written consent.
Buyer’s Information. 8.1 The Buyer notes that Aldes’ decision to introduce any Business/es for sale to the Buyer (and the Seller/s and/or Business/es decision to enter into discussions with the Buyer) is, in part, based on the information presented by the Buyer under and in terms of the Buyer’s Profile on the face of this Agreement. As such, the Buyer warrants and guarantees that all information presented and provided via and in terms of the Buyer’s Profile was, is and will remain true, complete and accurate and that it will immediately inform Aldes should there be any change in the information provided/presented.
Buyer’s Information. Where the Buyer has provided to ACE any design, specification, process, method of working, or any other information in connection with the Manufactured Goods (Buyer's Information): (a) ACE shall be under no obligation to check or confirm the conformity, accuracy or adequacy of the Buyer's Information; (b) the Buyer grants to ACE an irrevocable licence to use all copyright, design right or other intellectual property in the Buyer's Information for any purpose connected with the Manufactured Goods; (c) (c) the Buyer indemnifies ACE, its officers, agents and employees against all claims, demands, actions, costs (including legal costs on a full indemnity basis), charges, expenses, Loss or other liability arising out of or in connection with any claim against ACE in connection with the use of the Buyer's Information (including for infringement of any intellectual property rights); and (d) (d) ACE shall have no liability to the Buyer (whether in contract, tort or otherwise) in connection with any error, omission or inaccuracy in the Buyer's Information. 15. (Returns) Manufactured Goods and Goods manufactured by ACE to the specific requirements of the Buyer cannot be returned to ACE and are non‐refundable. Generic Goods can be returned only with the prior written approval of ACE, at the cost of the Buyer and subject to payment of 50% handling/restocking fee. 16. (PPSA) ACE retains full title to the Goods until ACE receives payment in full for those Goods. ACE claims a Purchase Money Security Interest in the Goods so as to secure payment of the Price. The Buyer grants to ACE a Purchase Money Security Interest in the Goods and any proceeds of their sale to secure payment of the Price. The Buyer agrees not to do anything that may result in the Purchase Money Security Interest granted being subjected to any other personal property security interest granted by the Buyer to any other party. 17. Additionally, if Seller creates or develops any drawings, designs, specifications, or technical data relating to Goods for which Buyer or Buyer’s licensors own the intellectual property rights, then (a) Seller hereby assigns and transfers to Buyer the title and ownership of such items, and any intellectual property rights relating thereto, free and clear of all liens and encumbrances, (b) such items shall be provided to Buyer at Buyer’s direction or upon completion, termination or cancellation of the Order or Release, along with all copies or reproductions thereof, and (c) Seller shall make no use of any such items in the performance of work for any other customer without Buyer’s prior written consent.
Buyer’s Information. Buyer has provided accurate identification information to Xxxxx to qualify as a Buyer of livestock. Buyer represents and warrants that the information provided therein is true and correct and shall promptly inform Xxxxx of any changes in the information provided.
Buyer’s Information. 11.1 The Seller will use the Buyer’s information to fulfil the order. The Seller may use agents and service providers for these purposes. To enable the Seller and other companies in its group to make credit decisions about the Buyer, the Seller may search the files of credit reference agencies (who will record the search).
