Common use of By Agents Clause in Contracts

By Agents. Each Agent shall severally indemnify the Issuer, on an after tax basis, against any loss, liability, fee, cost, claim, action, demand or expense (including, but not limited to, all reasonable costs, charges, fees and expenses paid or incurred in disputing or defending any of the foregoing) that the Issuer may incur or that may be made against it as a result of such Agent’s negligence, wilful default or fraud.

By Agents. Each Agent shall severally indemnify the Issuer, on an after tax basis, against any loss, liability, fee, cost, claim, action, demand or expense (including, but not limited to, all reasonable costs, charges, fees charges and expenses paid or incurred in disputing or defending any of the foregoing) that the Issuer may incur or that may be made against it as a result of such Agent’s gross negligence, fraud or wilful default or fraudthat of its officers, employees or agents.

By Agents. Each Fiscal Agent and Paying Agent shall severally indemnify the Issuer, on an after tax basis, Issuer against any loss, liability, fee, cost, claim, action, demand or expense (including, but not limited to, all reasonable costs, charges, fees charges and expenses paid or incurred in disputing or defending any of the foregoing) that the Issuer may incur or that may be made against it as a result of such Agent’s negligence, fraud or wilful default or fraudthat of its officers, employees or agents.

By Agents. Each Agent of the Agents shall severally indemnify the Issuer, on an after tax basis, against any loss, liability, fee, cost, claim, action, demand or expense Losses (including, but not limited to, all reasonable costs, chargeslegal fees, fees charges and expenses paid or incurred in disputing or defending any of the foregoingLosses properly and accurately documented) that the Issuer which it may incur or that which may be made against it as a result arising out of such Agent’s or in relation to or in connection with its gross negligence, bad faith or wilful default or fraudthat of its directors, officers, employees or agents.
