By AMARIN. AMARIN shall indemnify and hold harmless SPONSEE, its affiliates, and their respective employees, officers, directors, agents, representatives (all of the foregoing, the “SPONSEE Indemnified Parties”) for any losses, damages, claims, expense, fines, penalties or liabilities suffered by the SPONSEE Indemnified Parties (including, without limitation, reasonable legal fees and disbursements as incurred in connection therewith) in connection with a third-party claim and to the extent arising out of (i) an AMARIN Indemnified Parties’ material breach of this Agreement; (ii) an AMARIN Indemnified Parties’ negligence, unlawful acts, or willful misconduct; or (iii) any claim that the AMARIN TM, when used in accordance with the terms of this Agreement, infringes the intellectual property rights of a third- party, except to the extent that such claims are attributable to a SPONSEE Indemnified
