Calculation of Recurring Revenues Sample Clauses

Calculation of Recurring Revenues. No later than ten (10) Business Days following the date hereof, each of ESNI and CRC shall each independently calculate and present to the other party the amount of the Recurring Revenues for the immediately prior three (3) full calendar months generated by the ESNI Contributed Assets and the proposed CRC Contributed Assets, respectively. In the event that either party disputes the calculation of the other, such party will have the right to inspect such other party's books and records and to contact and ask questions of such other party's officers and independent accountants. If such inspection and inquisition does not resolve such dispute, then the arbitration provisions of this Agreement shall govern the resolution of such dispute. In the event that it is determined that the Recurring Revenues of the ESNI Contributed Assets exceeds or is less than the Recurring Revenues of the proposed CRC Contributed Assets, CRC will increase the proposed CRC Contributed Assets to cover such shortfall or reduce the proposed CRC Contributed Assets to cover such overage.
