Common use of Cancellation of the Agreement Clause in Contracts

Cancellation of the Agreement. This Agreement may be cancelled when: 10.1.1 The parties to this Agreement agree to terminate this Agreement in writing; 10.1.2 Any party to this Agreement may cancel this Agreement by giving notice in writing to the other parties of this Agreement at least ten (10) business days in advance in the following circumstances: (1) The representations or warranties in this Agreement of any party to this Agreement are materially untrue, inaccurate or significantly omitted when the representations or warranties are made or on the Delivery Date; (2) Any party to this Agreement fails to fulfill the commitments, undertakings and obligations under this Agreement in accordance with the provisions of this Agreement, and fails to take effective remedial measures within thirty (30) days upon a written demand issued by the other parties to this Agreement.
