CANCELLATION, REJECTION AND RESCISSION BY THE BUYER. 1. All payments made by the BUYER prior to the delivery of the VESSEL shall be in the nature of advance to the SELLER. In the event the BUYER shall exercise its right of rescission and/or cancellation of this Contract under and pursuant to any of the provisions of this Contract specifically permitting the BUYER to do so, then the BUYER shall notify the SELLER in writing or by letter sent by telefax or email confirmed in writing, and such rescission and/or cancellation shall be effective as of the date the notice thereof is received by the SELLER.

CANCELLATION, REJECTION AND RESCISSION BY THE BUYER. 1. The BUYER shall, in addition to its other rights of cancellation and/or rescission hereunder, be entitled to rescind this Contract should any of the following events occur: The filing of a petition or the making of an order or the passing of an effective resolution for the winding up of the BUILDER (other than for the purpose of reconstruction or amalgamation which has been previously approved in writing by the BUYER), or the appointment of a receiver of the undertaking or property of the BUILDER, or the insolvency of, or the suspension of payments by, the BUILDER, or the cessation of the carrying on of business, or the cessation of the construction of the VESSEL, by the BUILDER, or the making by the BUILDER of any special arrangement or composition with the creditors of the BUILDER. The Buyer shall additionally have no obligation to make payment of any unpaid instalment of the Contract Price during the continuance of any of the events referred to above.
