CCC COMMON STOCK. The shares of CCC Common Stock to be delivered to the Shareholders pursuant to this Agreement, when delivered in accordance with the terms of this Agreement, will be duly authorized and validly issued shares of CCC capital stock, fully paid and nonassessable. All of the shares of CCC Common Stock to be issued to the Shareholders in accordance herewith will be offered, issued, sold and delivered by CCC in compliance with all applicable state and federal laws concerning the issuance of securities and none of such shares was or will be issued in violation of the preemptive rights of any shareholder of CCC.

CCC COMMON STOCK. The issuance and delivery by CCC of shares of CCC Common Stock in connection with the Merger and this Agreement have been duly and validly authorized by all necessary corporate action on the part of CCC except for the approval of its shareholders contemplated by this Agreement. The shares of CCC Common Stock to be issued in connection with the Merger and this Agreement, when issued in accordance with the terms of this Agreement, will be validly issued, fully paid and nonassessable.
