Certain Distribution Agreements. Except as set forth in Section 3.17 of the Parent Disclosure Schedule, neither Parent nor any of its subsidiaries has entered into any material agreement (other than distribution agreements) under which Parent or any of its subsidiaries is restricted from selling, licensing or otherwise distributing any of its products to any class of customers, in any geographic area, during any period of time or in any segment of the market.

Certain Distribution Agreements. Except as set forth in Schedule 4.20, neither DCDC nor any of its subsidiaries is a party to any material agreement (other than distribution agreements) under which DCDC or any of its subsidiaries is restricted from selling, licensing or otherwise distributing any of its products to any class of customers, in any geographic area, during any period of time or in any segment of the market. For purposes of this Section 4.20, a material agreement shall mean any agreement required to be filed with the SEC pursuant to Item 601 of Regulation S-K promulgated under the Exchange Act.
