Certain Financing Documents Sample Clauses
Certain Financing Documents. Each of the following Financing Documents, each such document to be duly executed and delivered by each of the intended parties thereto:
(i) this Agreement;
(ii) each of the Initial Term Loan Notes; and
(iii) the Consent and Agreement of each of the Operator and Imperial Irrigation District relating to the Project Documents to which such Project Party is a party or by which it is otherwise bound, except as otherwise agreed in writing by the Administrative Agent on or prior to the Closing Date.
Certain Financing Documents. This Agreement, each of the Credit Agreements, the Intercreditor Agreement and the Fee Letters shall have been duly authorized, executed and delivered by each of the parties thereto and shall be in full force and effect.
