Certain Phrases. In this Agreement:
(a) words importing the singular number (including defined terms) also include the plural and vice versa and words importing any gender include all genders and, in each case, the rest of any sentence including such words is to be construed as if the necessary grammatical changes had been made;
(b) the terms “including”, “include” and “includes” mean “including (or include or includes), without limiting the generality of the foregoing”;

(a) “either” and “or” are not exclusive and “include”, “includes” and “including” are not limiting;

All references to Sections in this Pledge Agreement or in any schedule, exhibit or annex hereto shall be deemed references to Sections in this Pledge Agreement unless otherwise specified. As used in this Pledge Agreement, the terms "including," "including without limitation" and "such as" (and like terms) are illustrative and not limitative. No difference shall be imputed to the use in some places herein of "including" and in others of "including without limitation." Phrases such as "hereof" and "herein" refer to the entire Pledge Agreement and not just the section or other portion in which said reference appears.

Unless the context of this Agreement clearly requires otherwise, (i) references to the plural include the singular, the singular the plural, the part the whole; (ii) references to any gender include all genders; (iii) wherever the word “include,” “includes” or “including” is used in this Agreement, it shall be deemed to be followed by the words “without limitation”; (iv) references to “hereof”, “hereto”, “hereunder” or “herein” and words of similar import relate to this Agreement as a whole and not merely to a specific section, paragraph or clause in which the respective word appears; (v) the word “or” is disjunctive but not necessarily exclusive; (vi) the words “writing”, “written” and comparable terms refer to printing, typing and other means of reproducing words (including electronic media) in a visible form; (vii) references to any Person include the successors and permitted assigns of that Person; (viii) the word “day” means calendar day unless Business Day is expressly specified; (ix) the phrase “to the extent” means the degree by which; (x) the terms “deliver,” “delivered,” “provided to” or “made available” mean posted to the online data room hosted by Xxxxxxx Datasite located as xxxxx://xx0.xxxxxxxxxxx.xxx under the project name “Breakaway” at least one (1) Business Day prior to the date hereof; and (xi) the references to the “date hereof” mean the date of this Agreement. Any determination as to whether a situation is material shall be made by taking into account the effect of all other provisions of this Agreement that contain a qualification with respect to materiality so that the determination is made after assessing the aggregate effect of all such situations. Each accounting term used herein that is not specifically defined herein shall have the meaning given to it under GAAP, unless the context clearly indicates otherwise.
