Common use of Certificate of Chief Financial Officer Clause in Contracts

Certificate of Chief Financial Officer. At the time of the execution of this Agreement, the Underwriter shall have received from the Chief Financial Officer of the Company an officer’s certificate dated such date, in the form set forth in Exhibit D hereto and to such further effect as counsel to the Underwriter may reasonably request. At Closing Time, the Underwriter shall have received from the Chief Financial Officer of the Company a certificate dated as of Closing Time confirming that the certificate delivered by such officer at the time of the execution of this Agreement remains true and correct as of Closing Time.

At Closing Time, the Underwriter shall have received from the Chief Financial Officer of each of the Company and the Manager a certificate dated as of Closing Time confirming that the certificate delivered by such officer at the time of the execution of this Agreement remains true and correct as of Closing Time.
