Certificate of Insurance; Other Requirements. Prior to the execution of this Agreement and prior to each insurance policy expiration date during the term of this Agreement, Attaching Utility will furnish Owner Utility with a Certificate of Insurance and, upon request, certified copies of the required insurance policies. The Certificate shall reference this Agreement and worker’s compensation and property insurance waivers of subrogation required by this Agreement. Owner Utility shall be given thirty (30) calendar days advance notice of cancellation or nonrenewal of insurance during the term of this Agreement. Owner Utility, its council members, board members, commissioners, agencies, officers, officials, employees and representatives (collectively, “Additional Insureds”) shall be named as Additional Insureds under all of the policies, except worker’s compensation, which shall be so stated on the Certificate of Insurance. All policies, other than worker’s compensation, shall be written on an occurrence and not on a claims-made basis. All policies may be written with deductibles, not to exceed $100,000, or such greater amount as expressly allowed in writing by Owner Utility. To the extent allowed by law, Attaching Utility shall defend, indemnify and hold harmless Owner Utility and Additional Insureds from and against payment of any deductible and payment of any premium on any policy required under this Article. Attaching Utility shall obtain Certificates of Insurance from its agents, contractors and subcontractors and provide a copy of such Certificates to Owner Utility upon request.

2. Owner Utility, in the name of its council membersmunicipality, board members, commissioners, agencies, officers, officials, employees and representatives (collectively, “Additional Insureds”) shall be named as an “Additional Insureds Insured” under all of the policies, except worker’s workers’ compensation, which shall be so stated on the Certificate of Insurance. However, nothing in this Paragraph C.2 shall be interpreted to require that any insurance policy indemnify any Additional Insured against any negligent acts or omissions of any Additional Insured.
3. All policies, other than worker’s workers’ compensation, shall be written on an occurrence and not on a claims-made basis. Utility, at its option, may permit use of a claims- made policy, but only under the following conditions:
a. Utility, prior to the execution of this Agreement, consents in writing to the use of a claims-made policy; and
b. Licensee agrees to maintain such claims-made policy at all times during and for a period of ten (10) years immediately following the term of this Agreement.
4. All policies may be written with deductibles, not to exceed $100,000, or such greater amount as expressly allowed in writing by Owner Utility.
