• Additionally, without derogating from or limiting the representations and warranties of the Company, the Investor (A) is not relying on the Company for any legal, tax, investment, accounting or regulatory advice; (B) has consulted with its own advisors concerning such matters; and (C) shall be responsible for making its own independent investigation and appraisal of the transactions contemplated hereby.

• The Parties agree that the financial statements of the Company shall be consolidated by Investor A and the Company shall submit the financial statements in accordance with the format, type and time required by Investor A.

• AGER Capital Calls ¤ AGER shall make capital calls as set forth in section 2.12 of the AGER Shareholders Agreement posted in the Data Room Board representation § Investor A shall have the right to nominate one out of the nine members of the AGER Board.

• Investor A shall retain the original documents for the required period of time in accordance with the relevant Laws of China.
