Common use of Certificates and Permits Clause in Contracts

Certificates and Permits. The Company and its subsidiaries possess all certificates, permits and other authorizations issued by the appropriate federal, state or foreign governmental or regulatory authorities that are necessary for the conduct of their respective businesses, except where the failure to possess the same would not, individually or in the aggregate, have a Material Adverse Effect; and neither the Company nor any of its subsidiaries has received notice of any proceedings related to the revocation or modification of any such certificate, permit or authorization or has any reason to believe that any such certificate, permit or authorization will not be renewed in the ordinary course, except where such revocation, modification or nonrenewal would not, individually or in the aggregate, have a Material Adverse Effect.
