Certificates Not Tendered. Until Xxxxx Certificates representing Xxxxx Stock outstanding prior to the Merger are surrendered pursuant to Section 6.2.1 above, such certificates, except for certificates representing Dissenting Shares, will be deemed, for all purposes, to evidence solely the right to receive (a) the number and type of shares of Access Beyond Stock into which such shares of Xxxxx Stock will have been converted and (b) if applicable, cash in lieu of fractional shares.
