Cerulean Closing Conditions. As of the Effective Date, Cerulean shall have: (a) delivered to Calando a certificate of good standing of Cerulean in its jurisdiction of organization and the various foreign jurisdictions in which it is qualified and a certificate as to the incumbency of officers and the adoption of authorizing resolutions; (b) executed and delivered to Calando the CalTech Side Letter; and (c) executed and delivered to Calando the Xxxx of Sale and the Patent Assignment.
