Cessation of Production. If production of items covered by this Purchase Order is to be permanently discontinued at any time within one year after final delivery under this Purchase Order, Seller shall give Buyer at least 180 days prior written notice of such discontinuance during which xxxx Xxxxxx shall accept orders from Buyer for reasonable quantities of such items, despite such cessation of production.

Cessation of Production. If Seller plans to permanently discontinue production of any of the supplies, parts, support services, etc. provided to BATTELLE, hereunder, at any time during the useful life of such items, Seller shall provide BATTELLE at least six (6) months advance written notice of such discontinuance and, during this time, agrees to accept BATTELLE orders for such items.

Cessation of Production. In the event that the Supplier, its Affiliates and/or licensees decides to cease producing any Product, the Supplier shall notify the Purchaser of its intent to withdraw such Product at least [DELETED] before such withdrawal. Except as shown on Schedule B, the Supplier has no current plans to withdraw any Products within [DELETED] of the date of this APS Agreement. The Purchaser will have a minimum of [DELETED] from the date of such notice to place orders for such Product without quantity restrictions; provided, that the Purchaser promptly tenders to the Supplier a good faith forecast, complying with the terms of Article VIII, of the Purchaser’s requirements and allowing a commercially reasonable lead time for the Supplier, its Affiliates and/or licensees to produce such requirements. The Supplier, its Affiliates and/or licensees will maintain the capability to supply agreed upon Products, including Spare Parts, for a period to be agreed by the Parties, but in no event less than [DELETED] after withdrawal of such Products. In addition, after discontinuing any Product, the Supplier, its Affiliates and/or licensees shall maintain a reasonable supply of warranty replacements therefor for the remainder of all applicable warranty periods and an adequate supply of Spare Parts for the reasonable expected useful life of such Product.
Cessation of Production. (A) Any of the following occurs: (i) there has been an unplanned interruption or an unplanned suspension, in each case of the production or recovery of any petroleum derived from or relating to any Borrowing Base Asset for a continuous period of 60 days (or more) (provided that such 60 day period shall be extended on a day for day basis for up to a 30 day period if and for so long as the balance standing to the credit of the Debt Service Reserve Account exceeds two times the Required Balance); or (ii) all or a part of a Borrowing Base Asset or any equipment, rigs or vessels required to effectively exploit a Borrowing Base Asset, are destroyed or significantly damaged and, in each case, this has, or is reasonably likely to have a Material Adverse Effect. (B) No Event of Default will occur under this Clause 27.14 in the case of an unplanned interruption or an unplanned suspension, the consequences of which have been fully taken into account in the then-current Forecast.
Cessation of Production. Before procuring Material for use in the Work, Contractor will ask its suppliers whether such Material is or will soon be Obsolete Material. Contractor will not use Obsolete Material without written approval of Buyer. If at any time prior to 1 year after the later of final delivery of the Material or Final Completion of the Work incorporating the Material, Contractor learns that production, manufacturing or availability of Material or components thereof has been discontinued, or is expected to be permanently discontinued, Contractor will give Buyer written notice prior to placing any orders for such Material or components and as soon after learning of such discontinuance as is practical.
