Common use of cGMP Batches Clause in Contracts

cGMP Batches. Lonza will, in accordance with the terms of this Agreement and Quality Agreement, manufacture at the Facility and Release to Customer, cGMP Batches that comply with the Manufacturing Process, cGMP and the Specifications, together with a Certificate of Analysis; provided, however, that cGMP manufacture shall not commence until at least [***] has been manufactured in compliance with the Specifications. Prior to commencement of cGMP manufacturing, Lonza shall review the process assumptions. In the event that there is a material difference in the process assumptions as compared with the process results demonstrated during the manufacture of the Technical Batches, the Parties shall meet to discuss in good faith a revision to the Batch Price to reflect such difference.

cGMP Batches. Lonza will, in accordance with the terms of this Agreement and Quality Agreement, manufacture at the Facility and Release to Customer, cGMP Batches that comply with the Manufacturing Process, cGMP and the Specifications, together with a Certificate of Analysis; provided, however, that cGMP manufacture shall not commence until at least [***] Lonza has been manufactured completed the Engineering Batches described in compliance with the SpecificationsClause 3.4. Prior to commencement of cGMP manufacturing, Lonza the Steering Committee shall review the process assumptions. In the event that there is a material difference in the process assumptions as compared with the process results demonstrated during the manufacture of the Technical Engineering Batches, the Parties shall meet to discuss in good faith a revision to the Batch Price fee structure hereunder to reflect such difference. Any such revision would be effective only upon execution by the Parties of a written amendment to this Agreement on mutually acceptable terms.

Lonza LONZA will, in accordance with the terms of this Agreement and Quality Agreement, manufacture at the Facility and Release release to CustomerCLIENT, cGMP Batches that comply with the Manufacturing Process, cGMP and the Specifications, together with a Certificate certificate of Analysisanalysis; provided, however, that cGMP manufacture shall not commence until at least [***] has been manufactured successful completion of one (1) Engineering Run, unless agreed otherwise in compliance with the Specificationsapplicable SOW. Prior to commencement of cGMP manufacturing, Lonza LONZA shall review the process assumptions. In the event that there is a material difference in the process assumptions as compared with the process results demonstrated during the manufacture of the Technical Engineering Batches, the Parties shall meet to discuss in good faith a revision to the Batch Price price to reflect such difference.
