Batches. For the manufacture of all Batches (including, without limitation, training batches, placebo batches, cream batches, product batches for safety testing, and cGMP product batches), on receipt of a Work Order authorized by Anterios for a Batch, [*] of the charge for each task to be initiated in the Work Order will be invoiced by Manufacturer at the time of each task’s initiation; the remaining charge will be invoiced on successful completion of the task covered in the Work Order. Payment of all undisputed charges will be made by Anterios within [*] of receiving an invoice from Manufacturer.
Batches. On the Effective Date, and on the first (1st) day of each calendar quarter thereafter, Customer shall supply Lonza with a written forecast showing Customer’s good faith estimated quarterly requirements for Batches for the following [***] period (the “Batch Forecast”). No later than [***] following Lonza’s receipt of a Batch Forecast, Lonza shall provide written notice to Customer of whether it has (as of the date of receipt of the Batch Forecast) capacity available to meet Customer’s Batch Forecast and shall provide Customer with an estimated production schedule showing the estimated Commencement Date and delivery date of each Batch. Customer may from time to time request Lonza to manufacture additional Batches to those included in its Batch Forecast, such additional manufacturing shall be subject to available capacity at the applicable Facility and Lonza’s agreement.
Batches. Lonza shall have the right to reschedule a Commencement Date of any Batch upon reasonable prior written notice to Customer, provided that the rescheduled Commencement Date is no earlier or no later than [***] from the Commencement Date originally estimated at the time of Lonza’s acceptance of the Binding Purchase Order. If the Customer requests to change the Commencement Date, Lonza will make all reasonable attempts to accommodate the request; provided, however, in the event that this change would impact other projects scheduled for occupancy in the designated suite or suites, manufacture of the Customer’s Batch may be delayed until an adequate time period is available in the Facility schedule. Any delay requested by Customer of more than [***] shall be considered a cancellation pursuant to Clause 7.4.
Batches. Additional Samples may be added to this SOW in accordance with supplemental quotes provided by SomaLogic and corresponding purchase orders provided by Client. Payment in full is due and payable per batch upon Client’s receipt from SomaLogic of the deliverable described in Section 2 above and a corresponding invoice.

Batches. The Batch Maximum shall be ten (10) Batches. Both parties shall use Commercially Reasonable Efforts review the Batch Maximum on a quarterly basis to ensure adequate capacity is made available by CMC. The Batch Maximum may be increased as Customer requires and is mutually agreed to by the parties.

Batches. (a) Wyeth may invoice Genentech for the Conversion Fee for each Development Run (as per Sections 4.7 and 6.6.1) on or after the Run Start for each Development Run.
(b) Wyeth may invoice Genentech for the Conversion Fee for each Qualification Run (as per Sections 4.8 and 6.6.2) on or after the Run Start for each Qualification Run.
(c) Wyeth may invoice Genentech for the balance of the Conversion Fee due for each Commercial Batch (up to the Annual Maximum Purchase Commitment in each Calendar Year and subject to Sections 5.1, 5.3 and 5.4) on or after the Acceptance Date of such Commercial Batch. Each such invoice shall reference the Batch Number, Batch Record, the Acceptance Date, the Start Fee, the Success Fee and the total Conversion Fee for such Batch. With respect to those Batches for which Wyeth has previously invoiced a Start Fee, Wyeth shall only invoice Genentech for the Success Fee (the Conversion Fee less the Start Fee) and indicate previous invoicing and the status of payment of the Start Fee on the invoice.
Batches. Novasep shall manufacture kilolab batches, pilot batches and proof of process batches of the API as specified in the Project Plan (each, a “Demonstration Batch”). Novasep also shall manufacture development batches of the API as specified in the Project Plan (“Development Batch”). Novasep also shall manufacture batches of the API for the purposes of conducting validation studies as specified in the Project Plan (each, a “Validation Batch”). Inspire, in consultation with Novasep, will use the data from Validation Batches to finalize the Specifications consistent with regulatory expectations for purity, potency and other API characteristics. Novasep shall perform all validation studies specified in the Project Plan and as required by the Technical Transfer Program, Specifications, cGMPs or Legal Requirements in order to qualify the API produced at the Facility for incorporation into finished pharmaceutical products for commercial sale worldwide.
Batches. (a) Customer shall place Purchase Orders for the Minimum Order in accordance with Clause 7.1 (whether affirmatively or automatically), plus Customer shall place Purchase Orders for any other Batches it wishes to order in accordance with this Clause 7.3.2, and taking into consideration Lonza’s most recent response to the Forecast or in accordance with a manufacturing schedule as agreed in writing between the Parties after the date of this Agreement. All Purchase Orders must be placed at least [*] prior to the commencement of such order, or earlier as set forth in Clauses 7.2.4 and 7.2.5.
(b) Customer may place Purchase Orders under this Agreement for Batches in addition to the Minimum Orders, provided that Lonza has received a Forecast for such additional Batches and Lonza has issued a production schedule for such additional Batches. Subject to Lonza’s obligations under Clauses 7.2.4 and 7.2.5, Lonza shall have no obligation to accept Purchase Orders for such additional Batches or to reserve capacity prior to accepting such Purchase Orders.
(c) Each Purchase Order shall be signed by Customer and shall authorize Lonza to manufacture such Batches of the Product as are set forth therein, and Lonza shall notify Customer of its acceptance of such Purchase Order within [*] after its receipt, provided that Lonza shall not reject any Purchase Orders placed pursuant to this Agreement for any Batch included in the Minimum Order or Commercial Batches in excess of the Minimum Order under Clause 7.2.5. (d) Subject to Lonza’s obligation to accept Purchase Orders for the Minimum Order or for Commercial Batches in excess of the Minimum Order under Clause 7.2.5, Lonza shall not be obligated to commence manufacture of any Batch, whether part of the Minimum Order or additional Commercial Batches in excess of the Minimum Order unless and until such written Purchase Order is accepted in writing by Lonza, at which point such Purchase Order shall become a Firm Order and binding upon both Parties.
(e) Any additional or inconsistent terms or conditions of any Customer Purchase Order, acknowledgement or similar standardized form given or received pursuant to this Agreement shall have no effect and such terms and conditions are hereby rejected. All ordered Batches in a single Firm Order sha...
