Change Control. 8.1 Either party may propose changes to the scope or execution of the Services (“Change Order”), but no proposed changes shall come into effect until a Change Order has been signed by both parties. A Change Order shall be a document setting out the proposed changes and the effect that those changes will have on: 8.1.1 the Services; 8.1.2 the Supplier's Charges; 8.1.3 any timetable of the Services; and 8.1.4 any of the terms of this Agreement, or terms of the Service Schedules (including Service Terms) 8.2 If the Supplier wishes to make a change to the Services, it shall provide a draft Change Order to the Customer. 8.3 If the Customer wishes to make a change to the Services: 8.3.1 it shall notify the Supplier and provide as much detail as the Supplier reasonably requires of the proposed changes, including the timing of the proposed changes; and 8.3.2 the Supplier shall, as soon as reasonably practicable after receiving the information at clause 8.3.1, provide a draft Change Order to the Customer. 8.4 If the parties: 8.4.1 agree to a Change Order, they shall sign it and that Change Order shall amend this Agreement and / or the Service Schedule (as the case may be); or 8.4.2 are unable to agree a Change Order, either party may require the disagreement to be dealt with in accordance with the dispute resolution procedure in clause 29 (Multi- tiered dispute resolution procedure). 8.5 The Supplier may charge for the time it spends on preparing and negotiating Change Orders which implement changes proposed by the Customer pursuant to clause 6 on a time and materials basis at the Supplier's daily rates specified in the Service Schedule.

8.3.2 10.3.2 the Supplier shall, as soon as reasonably practicable after receiving the information at clause 8.3.110.3.1, provide a draft Change Order to the Customer.
8.4 10.4 If the parties:
8.4.1 10.4.1 agree to a Change Order, they shall sign it and that Change Order shall amend this Agreement and / or the Service Schedule (as the case may be)relevant Statement of Work; or
8.4.2 10.4.2 are unable to agree a Change Order, either party may require the disagreement to be dealt with in accordance with the dispute resolution procedure in clause 29 19 (Multi- tiered dispute resolution procedureAlternative Dispute Resolution).
8.5 10.5 The Supplier may charge for the time it spends on preparing and negotiating Change Orders which implement changes proposed by the Customer pursuant to clause 6 10.3 on a time and materials basis at the Supplier's daily rates specified in Schedule 4.
10.6 Where the Service ScheduleSupplier varies the way in which it performs any of the Additional Intelligence Services in order to comply with one or more of the following, it shall be entitled to make such changes (including to the SoW Charges) without the prior consent of the Customer subject always to it complying with the procedure set out in the rest of this clause 10):
10.6.1 where a change is required to comply with a change in the law; or
10.6.2 where a change is required as a result of the Customer changing its operating processes (or any part thereof).
10.7 Any changes to the Bespoke Services, ThreatMatch Services or any RFI Services must be agreed in advance by the parties in writing.

Change Control. 8.1 Either party may propose 6.1. The Customer Representative and the Supplier Representative shall have such meetings as are agreed between the Parties to monitor and review the performance of the Contract and to discuss any changes proposed in accordance with this Clause 6
6.2. Before each meeting, the Client Representative shall notify the Supplier Representative, and vice versa, of any problems relating to the scope or execution provision of the Services (“Change Order”)for discussion at the meeting. At each such meeting, but no proposed changes the Parties shall come into effect until agree a plan to address such problems. In the event of any problem being unresolved or a failure to agree on the plan, the matter shall be resolved in accordance with the Dispute Resolution Procedure. 6.3. If either party submits a Change Order has been signed by both parties. A Change Order shall be Request, the Supplier shall, within a document setting out reasonable time, provide a written estimate to the proposed changes and the effect that those changes will have onCustomer of:
8.1.1 6.3.1. The likely time required to implement the Serviceschange;
8.1.2 6.3.2. Any variations to the Supplier's Charges’s charges arising from the change;
8.1.3 any timetable 6.3.3. The likely effect of the change on the Services; and
8.1.4 any 6.3.4. Any other impact of the change on the terms of this Agreement, or terms of the Service Schedules (including Service Terms)Contract.
8.2 6.4. If the Supplier wishes submits a Change Request, the Customer shall not unreasonably withhold or delay consent to make a change to the Services, it shall provide a draft Change Order to the Customerit.
8.3 6.5. If the Customer wishes to make a change to the Services:
8.3.1 it shall notify the Supplier and provide as much detail as to proceed with the change, the Supplier reasonably requires has no obligation to do so unless and until the parties have agreed in writing on the necessary variations to its charges, the Services and any other relevant terms of the proposed changes, including the timing Contract to take account of the proposed changes; and
8.3.2 the Supplier shall, as soon as reasonably practicable after receiving the information at clause 8.3.1, provide a draft Change Order to the Customerchange.
8.4 If the parties:
8.4.1 agree to a Change Order, they shall sign it and that Change Order shall amend this Agreement and / or the Service Schedule (as the case may be); or

5.5 For the avoidance of doubt, in the Service Scheduleabsence of any agreed change to a Contract, and execution of a Change Order, VCG shall continue to provide the Supplies in accordance with the original terms of the Contract.

8.3.2 the Supplier shall, as soon as reasonably practicable after receiving the information at clause 8.3.1, provide submits a draft Change Order in order to comply with any applicable safety or regulatory requirements and such changes do not affect the Customernature, scope of, or charges for the Services, the Customer shall not unreasonably withhold or delay consent to it.
8.4 7.5 If the parties:
8.4.1 (a) agree to a Change Order, they shall sign it and that Change Order shall amend this Agreement and / or the Service Schedule (as the case may be)agreement; or
8.4.2 (b) are unable to agree a Change Order, either party may require the disagreement to be dealt with in accordance with the dispute resolution procedure in clause 29 30 (Multi- Multi-tiered dispute resolution procedure).
8.5 7.6 The Supplier may shall only be entitled to charge for the time it spends on preparing and negotiating Change Orders which implement changes proposed by originate from the Customer pursuant to in accordance with clause 6 7.2. 8.4.2 (b) are unable to agree a Change Order, either party may require the disagreement to be dealt with in accordance with the dispute resolution procedure in set out under clause 29 (Multi- tiered dispute resolution procedure)32.
8.5 The Supplier may charge for the reasonable time it spends on preparing and negotiating Change Orders Orders, which implement changes proposed by the Customer pursuant to clause 6 8.3, on a time and materials basis at the Supplier's daily fee rates specified in force from time to time and which are available to the Service ScheduleCustomer on request. Change Control. 8.1 Either party may propose 6.1. The Customer Representative and the Supplier Representative shall have such meetings as are agreed between the Parties to monitor and review the performance of the Contract and to discuss any changes proposed in accordance with this Clause 6
6.2. Before each meeting, the Customer Representative shall notify the Supplier Representative, and vice versa, of any problems relating to the scope or execution provision of the Services (“Change Order”)for discussion at the meeting. At each such meeting, but no proposed changes the Parties shall come into effect until agree a plan to address such problems. In the event of any problem being unresolved or a failure to agree on the plan, the matter shall be resolved in accordance with the Dispute Resolution Procedure. 8.1.4 any 6.3.4. Any other impact of the change on the terms of this Agreement, or terms of the Service Schedules (including Service Terms)Contract.
8.2 6.4. If the Supplier wishes submits a Change Request, the Customer shall not unreasonably withhold or delay consent to make a change to the Services, it shall provide a draft Change Order to the Customerit.

8.4.2 (b) are unable to agree a Change Order, either party may require the disagreement to be dealt with in accordance with the dispute resolution procedure in clause 29 (Multi- tiered dispute resolution procedure)Clause 28.
8.5 The Supplier FORMUSPRO may charge for the time it spends on preparing and negotiating Change Orders which implement changes proposed by the Customer pursuant to clause 6 Clause 8.3 on a time and materials basis at the Supplier's FORMUSPRO’s daily rates specified in the Service ScheduleFront Sheet.
