Common use of Changes to Terms of Appointment Clause in Contracts

Changes to Terms of Appointment. (a) Neither the College nor Project Co shall without the other’s prior written approval (not to be unreasonably withheld or delayed): (i) waive, settle, compromise or otherwise prejudice any rights or claims which the other may from time to time have against the Independent Certifier; or (ii) vary the terms of the Independent Certifier Agreement or the service performed or to be performed by the Independent Certifier. (b) The Parties shall perform their respective obligations arising under or in connection with the Independent Certifier Agreement.
