Charter; Good Standing; Incumbency. There shall have been delivered to Purchaser (i) a certificate dated within ten (10) days of Closing Date from the Secretary of State of Texas with respect to the incorporation and good standing of, and the payment of franchise taxes by Company, (ii), copies of Articles, Bylaws and all amendments and the resolutions of the Board of Directors of Company approving these transactions, and (iii) a certificate dated Closing Date with respect to the incumbency and signatures of all officers of Company signing this Agreement and any certificate, agreement or instrument delivered on behalf of Seller in connection with this Agreement.
