Representations and Warranties of Purchaser True at Closing. The Seller has not discovered any material error, misstatement or omission in the representations and warranties made by Purchaser in Section 4 hereof; the representations and warranties made by the Purchaser shall be deemed to have been made again at and as of the time of Closing and shall then be true in all material respects, except to the extent that such representations and warranties shall have been made as of a specified date; and the Purchaser shall have performed or complied with by it at or prior to Closing; and Purchaser shall provide Seller with a Certificate from Purchaser's President dated as of Closing that the above conditions have been fulfilled.
Representations and Warranties of Purchaser True at Closing. The representations and warranties made by Purchaser to Seller in this Agreement or any certificate or instrument delivered to Purchaser or its representatives hereunder shall be true, complete and correct in all material respects when made and on and as of the Closing Date with the same force and effect as though such representations and warranties had been made on and as of such date, except for changes expressly permitted by this Agreement. Seller shall have received a certificate of the Chief Executive Officer of the Purchaser, dated the Closing Date, to that effect.
