In the event that the State of Mississippi and/or Purchasing Entity’s authority to perform any of its duties is withdrawn, reduced, or limited in any way after the commencement of this Master Agreement and prior to normal completion, the State of Mississippi may terminate this Master Agreement, in whole or in part, by thirty (30) calendar days written notice to Contractor.
In the event of any claim for breach of contract against the Contractor, no provision of this Master Agreement, Participating Addendum, or Purchase Order, shall be construed, expressly or by implication, as a waiver by the State of Mississippi, Participating Entity, or Purchasing Entity of any existing or future right and/or remedy available by law.
Contractor waives all rights against the State of Mississippi for the recovery of damages to the extent they are covered by general liability or umbrella insurance.
In the event that a federally funded acquisition results from this procurement, the Contractor may be required to provide additional information (free of charge) at the request of the State of Mississippi or Purchasing Entity.
This Termination for Convenience clause may be invoked by the State of Mississippi when it is in the best interest of the State of Mississippi and/or NASPO ValuePoint.
All materials, equipment, supplies and/or services shall be free of all liens, claims, or encumbrances of any kind, and if the State of Mississippi or the Purchasing Entity requests, a formal release of same shall be delivered to the respective requestor.
Except as otherwise provided in this Master Agreement, the State of Mississippi, at the sole discretion of the Master Agreement Administrator, may terminate this Master Agreement, in whole or in part by giving thirty (30) calendar days written notice beginning on the second day after mailing to the Contractor.
The State of Mississippi (SOM) reserves the right to modify this Master Agreement by mutual agreement between the SOM and the Contractor, so long as such modification is substantially within the scope of the original Master Agreement.
The State of Mississippi, the Purchaser and Contractor agree that, the existence of a dispute notwithstanding, they will continue without delay to carry out all their respective responsibilities under this Master Agreement that are not affected by the dispute.
Neither the State of Mississippi nor the Purchasing Entity shall have any other obligation whatsoever to the Contractor for such termination.
