Chevron U.S. A. Inc. and Newfield Exploration Company hereby agree and acknowledge that this Agreement is made subject to that certain Exploration Participation Agreement (EPA) dated November 1, 2004 between Chevron U.S.A. Inc. and Newfield Exploration Company, and that in the event of a conflict between the terms and provisions of this Agreement and the EPA, the terms and provisions of the EPA shall control.
