Chief Medical Officer. The Chief Medical Officer shall be the chief medical officer of the Company, and shall perform those duties which such a position typically requires, subject to the direction of the Board. He/she shall not be a member of the Board but, unless excused by the Board, shall be entitled to attend all meetings of the Board.
