Cielo Consideration. It is agreed and understood that Cielo shall not receive payment in cash or otherwise at the time of the grant of the 1888 Rights in consideration therefor, provided that: 5.1.1 1888 makes payment for any and all expenses incurred in connection with the Development and/or Improvement of the Licensed Assets as and when they become due; 5.1.2 Cielo is granted the right of first refusal as set out in Section 5.4; and 5.1.3 Cielo is granted the Cielo Rights as set out herein.
