Circulating resolutions of Directors. (a) Subject to clause 6.11(b), the Directors may pass a resolution without a Directors’ meeting being held if the requisite number of Directors (or his or her Alternate Directors) entitled to vote on the resolution sign a document which:
Circulating resolutions of Directors. A written resolution signed by all the Directors (who are entitled to vote and are not disqualified from voting on that resolution) is taken to be a decision of the Board, without the need for a meeting.
