The Registrar. The Search Committee for the Registrar shall be composed of the following 13 voting members: • The Vice-President: Academic who shall chair the committee; • 1 ▇▇▇▇; • The Assistant Vice-President: Academic Services • 1 student; • 1 staff member; • 6 tenured Faculty Members elected by the University Faculty Council, with not more than one representative from any one Faculty, including Laurier Brantford; and • 2 Senate Members elected by Senate.
The Registrar. (1) In acting under this Agreement and in connection with the Notes, the Registrar is acting solely as agent of the Issuer and does not assume any obligation or relationship of agency or trust with any of the holders of Notes, except that all amounts received and held by the Registrar for payment in respect of the Notes shall be held in trust (i.e., as mandatary) for the holders of the Notes in an account or accounts for payment to the holders of Notes. The Registrar shall not be liable to pay interest or investment income to the Issuer on any moneys received from the Issuer for the purposes of payment pursuant to Section 7 (Payments by the Issuer to the Registrar).
(2) The Registrar shall be protected and shall incur no liability for action taken or not taken, or suffered to be taken or not taken, with respect to all legal matters upon which it has received advice from counsel in good faith and in accordance with the opinions and advice of such counsel.
(3) The Registrar and its officers, directors and employees may become the owners of, or acquire an interest in, any Notes, with the same rights that they would have if the Registrar was not acting as agent hereunder, and may engage or be interested in any financial or other transaction with the Issuer, and may act on behalf of, or as a depository, trustee or agent for, any committee or body of holders of Notes or holders of other obligations of the Issuer as freely as if the Registrar was not acting as agent hereunder.
(4) The Registrar may rely and shall be protected in acting upon any resolution, certificate, statement, instrument, opinion, report, notice, request, consent, order, letter, telegram, telecopier or other paper or document believed by it to be genuine and to have been signed, sent or presented by or on behalf of the proper party or parties and, in particular, may rely and shall be protected in acting on the basis of any such notice which is given in accordance with the provisions hereof.
The Registrar. 2.2 On the date of this Agreement, the Trustee, in its capacity as Registrar under the Indenture (the “Registrar”), shall provide to the Paying Agent a complete and correct copy of the register maintained by the Registrar in respect of the holders of Notes and the outstanding principal amount of Notes held by each holder of Notes.
2.3 The Registrar shall from time to time provide to the Paying Agent a complete and correct copy of the register of Notes maintained by it as soon as reasonably practicable following any transfer or exchange of any Notes, and promptly on request therefor by the Paying Agent.
2.4 The Paying Agent shall be entitled to treat as conclusive the most recent copy of the register provided to it by the Registrar in accordance with this Agreement.
The Registrar. 10.1.1 The Registrar, shall maintain a register (the "REGISTER") in Amsterdam in accordance with the Conditions and the Regulations referred to in Section 11 hereof. The Register shall show the aggregate amount of Notes represented by each Global Note at the date of issue and all subsequent transfers and changes of ownership and changes resulting from increases in Accreted Principal Amount in accordance with the definition thereof set forth in Condition 5(24) in respect thereof and the names and addresses of the registered holders of the Notes.
10.1.2 The Registrar shall at reasonable time make the Register available to the Issuer, the Agents or any person authorized by any of them for inspection and for the taking of copies thereof or extracts therefrom and the Registrar shall deliver, at the expense of the Issuer, to such persons all such lists of holders of Notes, their addresses, registered accounts, holdings and other details as they may request.
The Registrar. General must, on the application of the ▇▇▇, make in the Register a recording to signify that a recording made under subsection (2) has ceased to have effect.
The Registrar. General must, on application by the ▇▇▇, make a recording in the Register kept under the Real Property Act 1900 to signify that the land specified in the application is subject to this section.
The Registrar. The Registrar must enter on the supplementary record sheet a notification that the application has been made.
The Registrar. 2.1 A plan of sick leave credit gratuities is hereby established for every employee, and subject to the control of the Council, the conduct and management of the plan shall be vested in a Registrar who shall be the Director of HR Services or designate of the Town of Ajax.
2.2 The Registrar shall perform all things necessary or incidental to the due carrying on of the sick leave credit gratuities plan including the power to allow or disallow any sick leave credit or sick leave absence for any employee; provided, however, that the disallowance by the Registrar of any sick leave credit or sick leave absence shall be subject to appeal as hereinafter set forth.
2.3 The Registrar shall provide and keep a register in which all sick leave credits and sick leave absences for every employee shall be recorded so that the register will show the net sick leave credit of every employee which remains after all his sick leave absences have been deducted from his accumulated sick leave credit.
