CITIGROUP GLOBAL MARKETS DEUTSCHLAND AG & CO. KGaA in its capacity as Registrar (the Registrar which expression shall include any successor registrar appointed under clause 24);

KGaA in its capacity as a Paying Agent (together with the Issuing and Principal Paying Agent, the Paying Agents, which expression shall include any additional or successor paying agent appointed under clause 24, and Paying Agent shall mean any of the Paying Agents); and
CITIGROUP GLOBAL MARKETS DEUTSCHLAND AG & CO. KGaA in its capacity as Transfer Agent (the Transfer Agent, which expression shall include any additional or successor transfer agent appointed under clause 24). IT IS AGREED:
