City’s Conditions Precedent to the Second Closing. City’s obligation to proceed with the Second Closing is subject to the fulfillment, or waiver by City, of each and all of the conditions precedent (a) through (j), inclusive, described below (“City’s Conditions Precedent re the Second Closing”), which are solely for the benefit of City, and which shall be fulfilled, or waived in its sole discretion, within the time periods provided for herein, or if no time frame is provided, prior to the Outside Date re the Second Closing:
