City’s Police Powers. Developer acknowledges and understands that the City is prohibited from engaging in “contract zoning” or bartering away its legislative prerogative, and as such while City will cooperate with Developer as set forth herein, this Agreement does not constitute an approval that would require the exercise of City’s legislative and/or quasi-judicial authority. Provided further, nothing in this Agreement shall serve to affect or limit City’s police powers in the exercise of zoning decisions or other governmental action associated with the proposed development of the Property or any development order associated therewith.

City’s Police Powers. The Foundation recognizes and acknowledges the City’s authority under its charter, codes, and ordinances (and other Applicable Laws) to exercise its police powers to protect the public health, safety, and welfare, including the issuance of building permits, the inspection of construction, the issuance of certificates of occupancy and the enforcement of various construction codes and zoning. Such powers extend to the Foundation and its contractors’ construction activities in Fair Park. The Foundation acknowledges the City’s authority to take appropriate enforcement action under its charter, codes, and ordinances (and other Applicable Laws) to provide such protection, and nothing in this Agreement is intended to or does in fact limit, restrict, or condition that authority.
City’s Police Powers. Nothing in this Agreement shall serve to affect or limit City’s police powers in the exercise of rezoning decisions or other governmental action associated with the proposed redevelopment of the Property or any Development Order associated therewith.
City’s Police Powers. Nothing contained in this Agreement shall be construed as a waiver of or contract with respect to the regulatory and permitting authority of the City as it now or hereafter exists under applicable laws, rules, and regulations. Further, nothing contained in this Agreement shall be construed as a waiver of or attempted waiver by the City of its sovereign immunity under the constitution and laws of the State of Florida.

  • Police Powers The Grantee agrees to comply with the terms of any lawfully adopted generally applicable local ordinance necessary to the safety, health, and welfare of the public, to the extent that the provisions of the ordinance do not have the effect of limiting the benefits or expanding the obligations of the Grantee that are granted by this Franchise. This Franchise is a contract and except as to those changes which are the result of the Grantor’s lawful exercise of its general police power, the Grantor may not take any unilateral action which materially changes the mutual promises in this contract.

  • Contractor’s Power and Authority The Contractor warrants that it has the full power and authority to grant the rights herein granted and will hold the County hereunder harmless from and against any loss, cost, liability and expense, including reasonable attorney fees, arising out of any breach of this warranty. Further, the Contractor avers that it will not enter into any arrangement with any third party which might abridge any rights of the County under this Contract.

  • Statutory Powers For the purposes of all powers implied by statute the Secured Obligations shall be deemed to have become due and payable on the date of this Assignment.

  • Corporate Power and Authority Each Borrower has all requisite corporate power and authority to enter into this Amendment and to carry out the transactions contemplated by, and perform its obligations under, the Credit Agreement as amended by this Amendment (the "AMENDED AGREEMENT").

  • Surveys, Permits, and Regulations The Owner shall furnish all surveys unless otherwise specified. Permits and licenses of a temporary nature necessary for the prosecution of the Work shall be obtained and paid for by the Contractor. Permits, licenses, and easements for permanent structures or permanent changes in existing facilities shall be obtained and paid for by the Owner unless otherwise specified. The Contractor and its Subcontractors must pay any municipal or county occupational licenses, taxes, or fees, if any. The Contractor shall give all notices and comply with all laws, ordinances, rules, and regulations bearing on the conduct of the Work. If the Contractor observes that the drawings or specifications are at variance with any such laws, ordinances, rules or regulations, he shall promptly notify the Owner in writing, and any necessary changes shall be adjusted as provided in the Contract for changes in the Work. If the Contractor performs any Work knowing it to be contrary to such laws, ordinances, rules or regulations without such notice to the Owner, he shall bear all costs arising therefrom. Nothing in this paragraph shall be construed to impose design responsibility on the Contractor except as noted in the Contract Documents.

  • Role of the Central Parties and Crown a) The central parties shall each have the following rights:

  • Variance Power All funds established at the Foundation are subject to the Foundation’s “variance power”, required by Treasury Regulations for the Foundation and its donors to enjoy the more favorable income tax treatment of a community foundation as opposed to the less favorable income tax treatment of a private foundation. Treasury Regulations Section 170A-9(e)(11)(v)(B)(1) specifically states that the governing body of a community foundation must have the power “to modify any restriction or condition on the distributions of funds for any specified charitable purpose or to specified organizations if, in the sole judgment of the governing body (without the necessity of approval by any participating trustee, custodian or agent), such restriction becomes, in effect, unnecessary, incapable of fulfillment, or inconsistent with the charitable needs of the community or area served”.

  • Corporate Power The Company has all requisite corporate power to execute and deliver this Agreement and to carry out and perform its obligations under the terms of this Agreement.

  • LAWS, LICENSES, PERMITS AND REGULATIONS Contractor and County agree to comply with all State laws and regulations that pertain to construction, health and safety, labor, minimum wage, fair employment practice, equal opportunity, and all other matters applicable to Contractor and County, their sub-grantees, Contractors, or subcontractor, and their work. Contractor shall possess and maintain all necessary licenses, permits, certificates and credentials required by the laws of the United States, the State of California, County of Merced and all other appropriate governmental agencies, including any certification and credentials required by County. Failure to maintain the licenses, permits, certificates, and credentials shall be deemed a breach of this Agreement and constitutes grounds for the termination of this Agreement by County.

  • LICENSES AND STANDARDS 17 5.1 CONTRACTOR warrants that it has all necessary licenses and permits 18 required by the laws of the United States, State of California, County of 19 Orange and all other appropriate governmental agencies to perform the services 20 described in this Agreement, and agrees to maintain these licenses and permits 21 in effect for the duration of this Agreement. Further, CONTRACTOR warrants 22 that its employees shall conduct themselves in compliance with such laws and 23 licensure requirements including, without limitation, compliance with laws 24 applicable to sexual harassment and ethical behavior.
