CLAIMS AGAINST TITLE. Mortgagor will pay all taxes, assessments, liens, encumbrances, lease payments, ground rents, utilities, and other charges relating to the Property when due. Lender may require Mortgagor to provide to Lender copies of all notices that such amounts are due and the receipts evidencing Mortgagor’s payment. Xxxxxxxxx will defend title to the Property against any claims that would impair the lien of this Security Instrument. Xxxxxxxxx agrees to assign to Xxxxxx, as requested by Xxxxxx, any rights, claims or defenses Mortgagor may have against parties who supply labor or materials to maintain or improve the Property.

CLAIMS AGAINST TITLE. If the lien hereof, or the Corporation’s title to, or the rights of the Holder in or to, any material part of the Mortgaged Property shall be endangered or shall be attacked directly or indirectly, or if any legal proceedings are instituted against the Corporation with respect thereto, the Corporation shall take all necessary and proper steps for the defence of the Corporation’s title to the Mortgaged Property and the lien of this Debenture thereon and will take such action as is reasonably appropriate to the defence of any such legal proceedings including the employment of counsel, the prosecution or defence of litigation and the release or discharge of claims made against the title to the Mortgaged Property or the lien hereof.
CLAIMS AGAINST TITLE. If at any time any Claims are made relating to Seller's ability to transfer good title to Buyer, Buyer may withhold payment, without interest, of sums reasonably related to such Claim, until such Claim is finally determined or until Seller furnishes Buyer a bond, in form and with sureties acceptable to Buyer conditioned to hold Buyer harmless from any such Claim(s).
