Class B-2 and Class B-3 Units Sample Clauses

Class B-2 and Class B-3 Units. The Class B-2 Units shall vest, if at all, on the first date on which the Class B-2 Performance Hurdle is achieved; provided that the grantee of such Class B-2 Units is then engaged in a Business Relationship with the Company or any of its Subsidiaries. The Class B-3 Units shall vest, if at all, on the first date on which the Class B-3 Performance Hurdle is achieved; provided that the grantee of such Class B-3 Units is then engaged in a Business Relationship with the Company or any of its Subsidiaries. Upon the termination of such Management Member’s Business Relationship with the Company or any of its Subsidiaries for any reason, all Class B-2 Units or Class B-3 Units held by such Management Member that have not vested as of the date of such termination shall immediately become null and void and automatically be forfeited and terminated as of such date; provided that (A) the Class B-2 Units and Class B-3 Units shall not be forfeited if, such termination is by the Company or a Subsidiary without Cause or by the Management Member with Good Reason and on or prior to the three (3) months anniversary of such termination a Sale of the Company is consummated and (B) following a Sale of the Company, the Class B-2 Units and Class B-3 Units shall not be forfeited except in the event of a termination by the Company or any Subsidiary for Cause or by the Management Member without Good Reason (and, for the avoidance of doubt, such Class B-2 Units and Class B-3 Units shall remain, in all cases, subject to achievement of the applicable performance hurdles).

  • Class B Notes On each Distribution Date occurring on or after the date a withdrawal is made from the Series 2015-3 Collection Account pursuant to Section 3.5(a) or amounts are deposited in the Series 2015-3 Distribution Account pursuant to Section 3.5(c) and/or (d), the Paying Agent shall, in accordance with Section 6.1 of the Base Indenture, pay to the Administrative Agent for the accounts of the Purchaser Groups from the Series 2015-3 Distribution Account the amount deposited therein pursuant to Section 3.5(a), (c) and/or (d) less the aggregate amount applied to make payments required pursuant to Section 3.5(e)(i), to the extent necessary to pay the Class B Controlled Distribution Amount with respect to Related Month during the Class B Controlled Amortization Period or to the extent necessary to pay the Class B Invested Amount during the Series 2015-3 Rapid Amortization Period.

  • Special Class A Limitations The expenses attributable to each class of shares of the Funds listed on Annex B, as updated from time to time, shall be reduced, if necessary, so that the Ordinary Operating Expenses (as defined below) of each Fund attributable to such class of shares do not exceed the percentage of average daily net assets attributable to the applicable class of shares of such Fund as set forth on Annex B. This expense limitation shall be effected first by PIMSS waiving transfer agency fees and expenses allocated to the applicable class of shares. If waiving transfer agency fees and expenses alone is not sufficient to achieve the expense limitation reflected in Annex B, PFD shall waive Rule 12b-1 fees attributable to the applicable class of shares. In the event that waiving transfer agency fees and expenses and Rule 12b-1 fees attributable to a class of shares is not sufficient to achieve the expense limitation reflected in Annex B, PIM shall reimburse other expenses or waive other fees ("Fund-Wide Expenses") to the extent necessary to further reduce the expenses attributable to that class of shares to the percentage of average daily net assets reflected in Annex B. In the event that PIM waives or reimburses any Fund-Wide Expenses, PIM also agrees to waive or reimburse the Fund-Wide Expenses attributable to any other authorized class of shares to the same extent that such expenses are reduced for the class of shares that required the reduction of Fund-Wide Expenses.
