Clause XII. 2: Exclude “Licensor shall provide to Licensee upon request, or Licensee may create, one (1) copy of the entire set of Licensed Materials to be maintained as an archival copy. The archival copy from the Publisher shall be provided without any DRM in a mutually agreeable medium suitable to the content, and any fees for provision of copies will be on a time and materials basis only.” o Modify as follows “The Licensed Materials are produced by the Publisher as a PDF collection and may be purchased separately. The files for archival purposes are distributed on CD-ROMs and be mounted on the Licensee’s local server. The use of these Licensed Materials remains subject to the terms and conditions of this License.”
Clause XII. 3: Exclude “In the event the Licensor discontinues or suspends selling or licensing the Licensed Materials, Participating Institutions may use such archived Licensed Materials under the same terms as defined by this Agreement. If Licensee has a backup copy of the Licensed Materials as defined in Section IV, the backup copy may be used as an archival copy.” o Modify as follows “In the event the Licensor discontinues or suspends selling or licensing the Licensed Materials, the Licensee and Participating Institutions may use such Licensed Materials under the same terms and conditions as defined by this Agreement.”
Clause XII. The Lessee shall obtain a business license for sale of the minerals/products and submit a copy to the lessor, prior to issuance of work order. The Lessee Hereby Agrees to the Covenant as Follows:
Clause XII. Resolution of disputes Any disputes under the Contract shall be settled through negotiation, and if negotiation cannot resolve the disputes, the two parties agree to adopt option (I) for resolution of the disputes:
