Closing Certificate; Solvency Certificate. Receipt by the Administrative Agent of certificates signed by a (i) Responsible Officer of the Parent Borrower certifying that the conditions specified in Sections 5.01(b) and Sections 5.01(m) have been satisfied and (ii) the chief financial officer (or other officer with reasonably equivalent duties) of the Parent Borrower in the form attached hereto as Exhibit N.

Closing Certificate; Solvency Certificate. The Administrative Agent shall have received (i) a Solvency Certificate dated the Vion Acquisition Closing Date and executed by a Financial Officer of the Dutch Parent Borrower substantially in the form of Exhibit F hereto (with modifications for the making of such certification solely with respect to the Dutch Parent Borrower) and (ii) a certificate, dated the Vion Acquisition Closing Date and signed by a Responsible Officer of the Parent Borrower, confirming compliance with the conditions set forth in Sections 4.03(a) and (c) (which certificate shall include the making of the representations and warranties referred to in Section 4.03(a)).
