Closing Date Eligible Investments. On the Closing Date, in return for an amount equal to the sum of the Prefunding Account Initial Deposit and the Capitalized Interest Account Initial Deposit, the Seller does hereby transfer, assign, sell and grant to the Depositor, without recourse (except as provided in Section 6 and Section 8 hereof), any and all of the Seller's right, title and interest in and to the Closing Date Eligible Investments (the property in Section 2(a) and this Section 2(b), the "Assets"). The Seller shall not take any action inconsistent with such ownership nor claim any ownership interest in any Closing Date Eligible Investment for any purpose whatsoever other than for federal and state income tax reporting, if applicable.
