Closing Date Opinion of U.S. Counsel for the Company. On the Closing Date, the Representative shall have received the opinion and letter of Xxxxxxx, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel to the Company, dated the Closing Date and addressed to the Representative, in form and substance satisfactory to the Representative.
Closing Date Opinion of U.S. Counsel for the Company. On the Closing Date, the Placement Agent shall have received the opinion of Xxxx Xxxxx LLP, U.S. counsel to the Company, and a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Placement Agent, in a form reasonably acceptable to the Placement Agent.
