On the first Option Closing Date (if any), the Company’s ADSs, including the Option Shares, shall have been approved for listing on the Exchange, subject only to official notice of issuance.

The Company shall have submitted the Listing of Additional Shares Notification Form to the Nasdaq with respect to the Offering of the Public Securities and the Exchange shall not have raised any objection to the submission prior the Closing Date or each Option Closing Date, as applicable.
