Co-Presidents/President. (a) The day-to-day business and affairs of the Company shall be managed by two Co-Presidents during the Initial Period and one President thereafter, as set forth in Sections 5.2(b) and 5.2(c). The Co-Presidents (during the Initial Period) and the President (thereafter) shall have the authority and duties ordinarily imposed upon the chief executive officer of a corporation or as otherwise determined by the Management Committee from time to time. The Co-Presidents (during the Initial Period) and the President (thereafter) shall take all actions required to implement the Business Plan and the decisions of the Management Committee and to conduct the day-to-day management of the business and affairs of the Company. The Co-Presidents (during the Initial Period) and the President (thereafter) shall serve at the direction of the Management Committee in all respects. The Management Committee shall determine the compensation and benefits of the Co-Presidents (during the Initial Period) and the President (thereafter).
